The governance at Holfin Filantropica Association represents an ongoing process in which responsibility, integrity and transparency are essential elements in taking correct decisions, setting goals and defining charity programs that contribute to consolidating the confidence of all stakeholders in the organization, as well as to increasing the impact of our actions.
We rely only on trustworthy and competent individuals in our decision-making processes.
Above all, we apply an accountable governance with respect to the donors and partners who take part in our projects.
General Meeting of the Association
The General Meeting of the Association is the supreme decisional authority of Holfin Filantropica.
The charity programs of the Association are approved by the General Meeting.
Moreover, for any charity above 400,000 RON, the approval of the Extraordinary General Meeting is required.
Administration and Management
The Managing Board ensures the supervisory function of the Association. The structure, the size and the skills of the Managing Board are well suited for the size and the complexity of the activity.
The members of the Managing Board promote high ethical standards and a strong internal control culture.
The Board’s members are required to act in a way they consider would be most likely to promote the scope of the Association for the benefit of the communities and in line with the expectations of our donors and charity partners.
In doing so, the Board’s members must have regard (amongst other matters) to:
- The likely consequences of any decision in the long term.
- The need to comply with legal framework.
- The need to foster good relationships with donors, partners and communities, based on fair and transparent practices.
- The needs of the communities.
- The interests of our donors and partners.
- The impact of the charity programs on communities.
- The desirability of the Association maintaining a reputation for high standards of conduct.
The current management of the Association is undertaken by the Executive Director according to the delegations of authority set forth by the General Assembly and the Managing Board.
